1. About these Terms

These Terms of Service (“Terms”) are the agreement between your business and TrustyTech Pte. Ltd. for the use of EasyBiz Cloud. By creating an account, subscribing, or using the Services, you agree to these Terms.

If you are agreeing on behalf of a company or other organisation, you confirm that you have authority to bind it, and “you” means that organisation.

These Terms cover everything we provide under the EasyBiz Cloud name, including the Console, Point of Sale, our mobile apps, customer websites and online stores, the B2B Portal, WhatsApp and messaging tools, AI features, and our APIs (together, the “Services”).

2. About EasyBiz Cloud

EasyBiz Cloud is operated by TrustyTech Pte. Ltd., a company incorporated in Singapore with UEN 201807539R and its registered office at 3A Pasir Ris Drive 6, #03-29, Singapore 519422. In these Terms we call it “EasyBiz”, “we”, or “us”.

3. The Services

We provide EasyBiz Cloud as a subscription software service. You get access to the products, tiers, seats, and locations your account subscribes to, and we host and operate them for you.

We may add, change, or remove features as the Services develop. Where a change materially reduces a feature you subscribe to, we will give reasonable notice through the Console or by email.

Features we describe as planned, coming soon, beta, or preview are not part of your subscription until we release them, and may change or be withdrawn before that happens.

4. Your account

To use the Services you must create an EasyBiz Cloud account and give accurate registration details, and keep them up to date.

You are responsible for everything done under your account and for keeping your credentials secure. Tell us promptly at hi@easybizcloud.com if you believe your account has been compromised.

You decide who on your team has access. Seats and permissions are yours to assign, and you are responsible for what the people you authorise do in your workspace.

You must be at least 18 years old and able to enter into a contract. The Services are provided for business use, not for personal or household use.

5. Acceptable use

You may not use the Services for any illegal or unauthorised purpose, or to store or send material that is unlawful, infringing, deceptive, or harmful.

You may not attempt to gain unauthorised access to the Services, to another business's data, or to our systems; probe, scan, or load-test them without our written consent; or interfere with their operation.

You may not resell, sublicense, or provide the Services to a third party as though they were your own, and you may not copy, reverse engineer, or create derivative works from them except to the extent the law allows despite this restriction.

You may not use automated means to extract data from the Services beyond the APIs and export tools we provide, and you may not use the Services in breach of Singapore export control or sanctions law.

You may not use the Services to engage in abusive, harassing, or bullying behaviour, including when contacting us for support.

6. Your content and your customers' data

You keep ownership of everything you put into the Services — your business records, customer lists, products, prices, images, and website content (“Your Content”). You grant us a worldwide, non-exclusive licence to host, copy, transmit, display, and process Your Content, only as needed to provide, secure, and support the Services for you.

Much of Your Content is personal data about your own customers and staff. As between you and us, you decide what is collected and why: under the Personal Data Protection Act 2012 you are the organisation responsible for that data, and we handle it as your data intermediary, on your instructions, to run the Services you configured.

You are responsible for having a lawful basis and any consent required to collect that data and to put it into EasyBiz Cloud, for giving your customers the notices they are entitled to, and for answering their access and correction requests. We will give you reasonable assistance with those requests through the tools in the Console.

You must not put highly sensitive information into the Services unless a feature is expressly designed to hold it — in particular full payment card numbers, scans of government identity documents, and health records.

Our Privacy Policy explains what we collect, who processes it for us, and how we protect it. It forms part of these Terms.

7. Messages you send through EasyBiz

The Services let you send messages to your customers — order updates, receipts, WhatsApp replies, SMS, email, and marketing campaigns, including messages drafted or sent by AI features. Those messages are yours, and they are sent in your name.

You are the sender for the purposes of the Personal Data Protection Act 2012 and the Spam Control Act 2007. You represent and warrant that for every recipient you have the consent required to send that message, and that where the message is a specified message sent to a Singapore telephone number you have either checked the Do Not Call Registry or hold clear and unambiguous consent that removes the need to check.

You will honour unsubscribe and opt-out requests promptly, and you will not use the Services to send unsolicited marketing.

You will indemnify us against any claim, penalty, fine, loss, or cost (including reasonable legal fees) arising from messages sent from your account in breach of this section.

We do not guarantee that a message will be delivered. Delivery depends on telecommunications networks and messaging providers outside our control — see section 9.

8. AI features and AI agents

Some Services use artificial intelligence to answer questions, draft replies and content, summarise records, and — where you enable an AI agent — carry out actions in your workspace.

AI output can be wrong. It may be inaccurate, incomplete, or out of date, and it is not reviewed by us before you see it. It is not legal, tax, accounting, or other professional advice. You are responsible for checking AI output before you rely on it, send it to a customer, or act on it.

An AI agent acts only within the scope you enable and configure in the Console. An action an agent takes in your workspace is treated as an action taken by you, in the same way as if a member of your staff had taken it. You should keep an appropriate level of human review over the actions that matter to your business — sending customer messages, changing prices, issuing refunds, and cancelling orders.

You can turn AI features off, and limit what an agent is allowed to do, from the Console.

We do not use Your Content to train the artificial intelligence models of the model providers we use, and our agreements with them do not permit them to do so. We do use your interactions with our AI features — including conversation transcripts and quality ratings — to operate, secure, evaluate, and improve the Services. Our Privacy Policy explains this in more detail.

AI features included in your subscription are provided on a fair-use basis. If we introduce usage-based charging for an AI feature, we will tell you how usage is measured before it applies to your account.

9. Services you connect

The Services work with third-party services that you choose to connect using your own accounts — among them Stripe for taking card payments, Meta's WhatsApp Business Platform for messaging, SMS gateways such as Vonage or MACROKIOSK, and Xero or QuickBooks Online for accounting.

Those services are operated by other companies under their own terms and privacy policies. Your relationship with them is yours, not ours. We are not responsible for their availability, their charges, their handling of your data, or anything they do or fail to do.

When you connect a service, you authorise us to exchange data with it as needed to make that integration work.

Card payments are handled by the payment provider you connect. We keep only the payment references your books need; full card details are not stored by EasyBiz.

If a third-party service changes, restricts, or withdraws its integration, the related feature may stop working. We will tell you when we become aware of it, but that is not a breach of these Terms.

10. Fees, billing, and renewal

You pay the fees for the products, tiers, seats, and locations your account subscribes to, at the rates published on our pricing page or agreed with us in writing. Fees are in Singapore dollars unless we state otherwise, and are exclusive of GST and any other applicable tax, which we add where required.

Subscriptions renew automatically for successive billing periods until they are cancelled. We charge the payment method on file at the start of each period.

We do not refund fees for a billing period that has already started. If you cancel, paid features continue until the end of the current period and the subscription then stops. Fees are not pro-rated.

You can cancel at any time from the Console or by contacting us at hi@easybizcloud.com. Cancellation takes effect at the end of the current billing period.

Charges that depend on usage — such as the number of locations, seats, or orders recorded in a period — are billed for the period in which that usage occurred.

If a payment fails, we may retry it and may suspend paid features until the amount owed is paid.

We may change our prices. We will give at least 30 days' notice through the Console or by email, and a new price takes effect at your next renewal. If you do not accept it, you may cancel before it takes effect.

11. Term, suspension, and termination

These Terms apply from the first time you use the Services until your account is closed.

We may suspend your account or any part of the Services, giving notice where it is practicable to do so, if you are in material breach of these Terms, if payment is overdue, if your use threatens the security or stability of the Services or of another business using them, or if the law requires it. We will restore access once the cause is resolved.

We may terminate these Terms and close your account on 30 days' notice, or immediately if you commit a material breach that you do not fix within 14 days of us asking you to, if you become insolvent, or if we are legally required to.

You may close your account at any time. Section 12 explains what happens to your data.

We may stop offering the Services, or any product within them, on at least 90 days' notice. If we do that during a period you have already paid for, we will refund the unused part of that period.

Sections that by their nature should continue after termination do so — including sections 6, 7, 12, 14, 15, 16, 17, 20, and 21.

12. Your data when you cancel

If you cancel a subscription, paid features stop at the end of the current billing period. Your business data is not deleted when you cancel: we retain it for at least 24 months so you can reactivate your account and continue where you left off, and we may retain transaction records for up to 7 years where record-keeping laws (such as those of Singapore and Malaysia) require it. After the applicable retention period, data is deleted or anonymized.

You can export your data from the Services at any time while your account is active, and we recommend doing so before cancelling. The account owner may also request earlier deletion of the account's data by contacting us; we will honor verified requests within 30 days, except for records we are legally required to keep.

13. Availability and support

We work to keep the Services available and to fix faults promptly, but we do not guarantee that they will be uninterrupted or error-free. We do not offer a contractual uptime commitment or service credits.

We may take the Services down for maintenance. Where planned maintenance is likely to interrupt your work, we will give notice through the Console or our status page.

Support is provided through the channels published on our website, during our normal business hours in Singapore.

14. Intellectual property

The Services and everything in them other than Your Content — software, designs, templates, documentation, and the EasyBiz Cloud name and marks — belong to us or our licensors. We grant you a non-exclusive, non-transferable right to use them for your business for as long as your subscription is current, and nothing further.

If you send us feedback or suggestions, we may use them freely and without any obligation to you.

We may identify you as a customer, using your business name and logo, on our website and in our materials. Tell us at hi@easybizcloud.com if you would rather we did not.

15. Disclaimer

To the fullest extent permitted by law, the Services are provided “as is” and “as available”, and we exclude all warranties, conditions, and terms that are not expressly set out in these Terms — including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will meet your requirements, run without interruption or error, be free of harmful code, or that data will be preserved without loss. Keep your own exported copies of anything you cannot afford to lose — the export tools exist for that purpose.

We do not give legal, tax, accounting, or regulatory advice. Tax rates, invoice formats, retention settings, and compliance features are tools you configure; checking that they meet your obligations is your responsibility. Section 8 sets out the position on AI output.

16. Your indemnity

You will indemnify us and hold us harmless against any claim, demand, penalty, fine, loss, or cost (including reasonable legal fees) brought by a third party or a regulator and arising from Your Content; from messages sent from your account; from your use of the Services in breach of these Terms or of the law; from your failure to obtain a consent or give a notice required for personal data you put into EasyBiz Cloud; or from a dispute between you and one of your own customers.

We will notify you promptly of any claim covered by this section and allow you to control its defence, provided that any settlement which admits fault on our part or imposes an obligation on us requires our written agreement.

17. Limitation of liability

Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence and for fraud or fraudulent misrepresentation.

Subject to the paragraph above, we are not liable for loss of profits, loss of revenue, loss of anticipated savings, loss of business or goodwill, business interruption, or any indirect or consequential loss, however it arises.

We are not liable for loss or corruption of data to the extent it could have been avoided by keeping your own exported copies, nor for anything caused by a third-party service you connected, by a network's failure to deliver a message, or by your use of AI output without the review described in section 8.

Subject to the first paragraph of this section, our total liability to you for all claims arising out of or in connection with these Terms and the Services, whether in contract, tort (including negligence), or otherwise, is limited in aggregate to the lower of the fees payable for the Services for the three-month period immediately before the event giving rise to the claim — treating fees paid in advance for a longer period as accruing evenly across that period — and SGD 2,000.

These limits reflect the price of the Services and the fact that you control your own data, your own exports, and the level of human review you apply to AI output. Both of us accept them as a reasonable allocation of risk between businesses of our respective sizes.

Any claim under these Terms must be brought within 12 months of the date you became aware, or ought reasonably to have become aware, of the circumstances giving rise to it.

18. Changes to these Terms

We may amend these Terms by posting a revised version on our website or through the Services, and we will update the date shown at the top of this page.

Where a change materially reduces your rights or increases your obligations, we will give at least 30 days' notice through the Console or by email before it takes effect. Continuing to use the Services after that means you accept the revised Terms; if you do not accept them, you may cancel before they take effect.

19. Force majeure

Neither of us is liable for failing to perform because of something outside our reasonable control — including internet or telecommunications failure, the failure of a third-party provider, power failure, fire, flood, epidemic, industrial action, war, act of terrorism, or government action. This does not excuse payment for Services already provided.

20. General

Assignment. You may not assign or transfer these Terms without our written consent, which we will not unreasonably withhold. We may assign them to an affiliate, or in connection with a merger, acquisition, or sale of our business.

Entire agreement. These Terms, together with our Privacy Policy and any order form or written agreement signed with us, form the whole agreement between us about the Services and replace anything said or written beforehand.

Severability. If any part of these Terms is found to be unenforceable, the rest continues to apply, and that part is treated as modified to the minimum extent needed to make it enforceable.

No waiver. If we do not enforce a right straight away, we have not given it up.

Notices. We send notices to the email address on your account. Send notices to us at hi@easybizcloud.com. A notice is treated as received on the next business day in Singapore.

No third-party rights. Nobody other than you and us may enforce these Terms under the Contracts (Rights of Third Parties) Act 2001.

Order of precedence. If a written agreement signed between us conflicts with these Terms, the signed agreement prevails to the extent of the conflict.

21. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of Singapore.

The courts of Singapore have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms.
